The rules for using elariaagentic.com, its forms and its chat assistant. Effective October 16, 2026.
These Terms of Use govern your use of elariaagentic.com (the “site”), operated by Elaria Agentic, LLC, a New Jersey limited liability company (“Elaria Agentic,” “we,” “us”). By using the site you agree to these terms. If you do not agree, please do not use the site. The site is intended for business professionals acting for their organizations and is not directed to children under 16.
Content on the site, including the Executive Intelligence page, articles, figures and answers from the chat assistant, is general information about healthcare operations and agentic AI. It is not medical, legal, financial, tax or investment advice, and it does not create a consulting, attorney-client, fiduciary or other professional relationship. Consulting services are provided only under a separate written agreement signed by both parties, and that agreement controls over anything on the site.
Industry figures on the site come from the public sources cited next to them, as of the dates shown, and may since have changed. Savings estimates, staffing models and other examples are illustrative only. They are not quotes, forecasts or guarantees of results for any organization.
The “Ask Elaria” chat is an automated assistant powered by a third-party artificial-intelligence service. Its answers can be incomplete or wrong, and it is not monitored by a person in real time. Do not rely on it for decisions, and do not enter confidential information into it. Messages you send are processed by our AI provider to generate a reply, and messages that ask to be contacted are forwarded to Miguel Morel.
Do not submit protected health information (PHI), patient records or other regulated data through the site, its forms or its chat. The site is not designed to receive that information. If an engagement involves PHI, it stays within systems the client organization covers under its own agreements, and any access by us will be governed by a signed agreement, such as a business associate agreement where required.
When you submit a proposal request, NDA request, job application, feedback or chat message, you confirm that the information is accurate and that you have the right to share it, including any details about a colleague you list as a secondary contact. We use submissions to respond to you, as described in our privacy policy. If you send ideas or feedback about the site or our services, we may use them without any obligation to you. This does not apply to information in a proposal request or information covered by a signed NDA.
The mutual NDA template we email on request is a starting draft. Filling in or returning it creates no obligation on either party until both parties have signed it. You may want your own counsel to review it.
The site’s text, design, graphics, the Elaria Agentic name and logo, and the selection and arrangement of the Executive Intelligence content belong to Elaria Agentic or its licensors and are protected by law. You may view and share pages for your own non-commercial or internal business purposes, with attribution. You may not copy, republish, sell or create derivative works from the site’s content, or use our name or logo, without our written permission.
You agree not to use the site to break the law; to send spam or unsolicited promotions; to submit false information or impersonate anyone; to scrape, crawl or harvest content or data by automated means, other than standard search-engine indexing; to probe, test or bypass security or rate limits; to interfere with the site’s operation; or to use the chat assistant to generate harmful, misleading or unlawful content.
The site relies on and links to services run by others, such as scheduling, analytics, email delivery and AI providers, and it may link to outside websites and sources. Those services and sites have their own terms and privacy practices, and we are not responsible for their content or availability.
The site and its content are provided “as is” and “as available.” To the fullest extent permitted by law, Elaria Agentic disclaims all warranties, express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose and non-infringement, and does not promise that the site will be uninterrupted, error-free or free of harmful components.
To the fullest extent permitted by law, Elaria Agentic and its members, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from or related to your use of the site. Our total liability for any claim related to the site will not exceed one hundred U.S. dollars (US$100). These limitations apply only to the extent permitted by applicable law, including New Jersey law, and do not limit any right you have that cannot be waived under New Jersey law. This section does not limit liability under any separate signed services agreement, which has its own terms.
To the extent permitted by applicable law, you agree to indemnify and hold harmless Elaria Agentic from claims, losses and expenses, including reasonable attorneys’ fees, arising from your misuse of the site or your violation of these terms.
These terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. Any dispute related to the site will be brought exclusively in the state courts of New Jersey or the United States District Court for the District of New Jersey, and you consent to their jurisdiction.
We may update these terms from time to time; the date below shows the latest version, and continued use of the site means you accept the updated terms. Changes apply going forward and do not affect disputes that arose before the change. If any part of these terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These terms, together with our privacy policy, are the entire agreement between you and us about use of the site. They do not replace any separate signed agreement, such as an NDA or services agreement, which controls for its subject matter.
Questions about these terms can be sent through the request form; write “Terms question” in the problem box.
