Client agreement

Our client agreement, in plain English

Twelve promises, how payment works, and how we protect patient information. Effective October 17, 2026.

How this works

This agreement covers every project you do with Elaria Agentic, LLC. Each project’s details (goal, deliverables, timeline, what’s not included, and price) are in the proposal you approve. If this agreement and a proposal ever disagree, this agreement wins. We kept it short and in plain English on purpose.

Our promises to each other

  1. We advise; you decide. You make and own every decision. We do our best work, but we can’t guarantee results.
  2. We’re not your lawyer, accountant or doctor. Our advice doesn’t replace theirs.
  3. We use AI tools, and a person checks everything. Please review our work before you act on it.
  4. You own what you paid for. We keep our own methods, templates and tools, and you may use any that appear in your deliverables.
  5. We keep each other’s information confidential, unless it’s already public or the law requires sharing it.
  6. Our total liability is capped at the fees you paid for that project. Neither of us is responsible for lost profits or other indirect losses.
  7. Either of us can end a project with 30 days’ written notice, or sooner if the other breaks this agreement and doesn’t fix it. You pay for work done up to that point.
  8. We won’t hire each other’s people during a project and for 12 months after, unless we both agree in writing.
  9. We won’t use each other’s name or logo publicly without written permission.
  10. We’re an independent contractor, not your employee or agent.
  11. If a problem comes up, we’ll talk first. If we can’t settle it in 30 days, we’ll try mediation. New Jersey law applies.
  12. Changes to a project need a short written change order that both of us approve, including any change in price.

Fees and payment

  • Price: set in your approved proposal. No surprise charges.
  • How to pay: Visa, Mastercard, American Express, Discover, Apple Pay, bank transfer (ACH) or purchase order. We invoice through Stripe.

Patient information (Business Associate Agreement)

If you share protected health information (PHI) with us, our Business Associate Agreement applies and is part of this agreement. If you sign your own BAA with us instead, yours replaces ours.
